TERMS OF USE
AlwaysON Website and Waitlist
Effective date: 04/11/2026 Version: 1.0
1. About these terms
These terms govern your use of the AlwaysON website at www.wearealwayson.com and the AlwaysON waitlist (together, the "Service"). The Service is operated by AlwaysON Limited, a company registered in Nigeria with RC number 8715617 and its registered address at No. 5 Kikuyu Close, Wuse 2, Abuja ("AlwaysON", "we", "us").
By using the website or joining the waitlist, you confirm that you have read and accepted these terms. If you do not accept them, please do not use the Service. These terms should be read together with our Privacy Notice, which explains how we handle your personal data.
2. What the Service is
AlwaysON is building a platform that helps households and businesses in Nigeria plan, price and finance solar and energy storage systems by connecting them with equipment manufacturers, installers and financing banks. The waitlist lets you register your interest and share information about your location and energy needs so that we can contact you as the platform launches.
The Service as it stands today is a registration of interest. Joining the waitlist does not create a contract for the supply, installation or financing of any system.
3. Eligibility and your information
- You must be at least 18 years old and able to enter into a binding agreement to use the Service. If you register on behalf of a business, you confirm that you are authorised to do so.
- You agree to give us accurate, current and complete information, including your contact details, your location and the energy information you provide.
- You must not use another person's details or register a location you have no right to propose for installation without telling us.
- We may correct, suspend or remove an entry that we reasonably believe to be false, duplicated or made in bad faith.
4. No offer, no obligation and indicative pricing
- Joining the waitlist places no obligation on you to buy, and places no obligation on us to supply you with anything, to reserve you a place in any order or to offer you any product, price or financing.
- Any system size, price, savings figure or payment estimate shown or sent to you before a physical assessment is indicative only. It is based on the information you gave us and on remote data such as satellite imagery, and it is not an offer. A price becomes firm only when it is confirmed in writing after an installer has assessed your premises and you have signed a separate agreement.
- The final price and system design may differ from an indicative estimate, including because of your actual energy use, the condition of your premises or wiring, shading, or safety requirements such as lightning protection.
- Financing is provided by third-party banks or lenders, not by AlwaysON. Any financing is subject to the lender's own credit assessment, terms and approval. We cannot guarantee that you will qualify for finance, and a pre-qualification indication on our platform is not an approval.
- Places on the waitlist, launch dates and service areas may change, and we may launch in some locations before others.
5. Sharing your details with partners
We will pass your details to an installer, manufacturer or bank only where you have agreed to this for that purpose, as explained in our Privacy Notice. Those partners are independent businesses. Once they receive your details, they are responsible for how they use them, and any agreement you enter into with them is between you and them. AlwaysON is not a party to it unless we tell you otherwise in writing.
6. How you may use the Service
You agree that you will not:
- use the Service for any unlawful purpose or in a way that breaches any Nigerian law or regulation;
- submit false, misleading or abusive information, or impersonate another person or business;
- attempt to gain unauthorised access to the website, our systems or other users' data;
- introduce viruses or harmful code, or interfere with the operation, security or performance of the Service;
- use automated tools, scrapers or bots to collect data from the Service, or to submit waitlist entries in bulk;
- copy, resell or commercially exploit any part of the Service, including pricing estimates, without our written permission.
7. Intellectual property
The website, its design, text, graphics, logos, software and the AlwaysON name and marks belong to AlwaysON or its licensors and are protected by law. We give you a limited, non-exclusive, non-transferable and revocable permission to view and use the Service for your own personal or internal business purposes while these terms apply. You must not copy, modify or distribute our materials except as the law allows or with our written consent.
You keep ownership of the information you submit. You give us permission to use it to operate the Service and for the purposes described in our Privacy Notice.
8. Third-party links and content
The website may link to websites or services run by others, such as partners, payment providers or suppliers. We do not control them and are not responsible for their content, availability or privacy practices. A link does not mean we endorse them.
9. Availability and changes to the Service
We aim to keep the Service available, but we do not promise that it will be uninterrupted or free of errors. We may change, suspend or withdraw any part of the Service, including the waitlist, at any time, for example for maintenance, security or business reasons. Where reasonably possible we will give notice of significant changes.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the extent the law allows, we do not give any warranty that the information on the website, including estimates, savings projections and market information, is complete, accurate or suitable for your particular needs. Nothing on the website is professional engineering, financial, tax or legal advice, and you should seek your own advice before making a purchase or financing decision.
11. Limitation of liability
Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, for fraud, or any rights you have as a consumer under Nigerian law.
Subject to that, and to the extent the law allows, AlwaysON is not liable for any indirect or consequential loss, loss of profit, loss of opportunity or loss of data arising from your use of, or inability to use, the Service.
12. Suspension and ending your use
You may stop using the Service at any time and ask us to remove you from the waitlist using the contact details below. We may suspend or end your access or remove your waitlist entry if you breach these terms, if we reasonably suspect misuse, or if we withdraw the Service. Sections that by their nature should continue after that, including those on intellectual property, disclaimers, liability and governing law, will continue to apply.
13. Communications
By joining the waitlist, you agree that we may contact you by email, phone, SMS or messaging apps about your registration and about the launch of the platform. You will receive promotional messages only if you have agreed to them, and you can opt out at any time using the link in our messages or by contacting us.
14. Changes to these terms
We may update these terms from time to time. We will post the new version with its effective date on the website and, where a change is significant, we will tell you by email. If you continue to use the Service after the effective date, you accept the updated terms. If you do not accept them, you should stop using the Service and ask us to remove your entry.
15. Governing law and disputes
These terms and any dispute arising from them are governed by the laws of the Federal Republic of Nigeria. If you have a complaint, please contact us first at the details below, and we will try to resolve it within 30 days. If we cannot resolve it, the parties agree to try mediation before starting court proceedings, and the courts of Abuja, Federal Capital Territory, Nigeria will have jurisdiction, without affecting any right you have under consumer protection law to bring a complaint to a regulator or to a court in your own location.
16. General
- These terms and the Privacy Notice are the whole agreement between you and AlwaysON for the Service.
- If any part of these terms is found to be invalid or unenforceable, the rest will continue to apply.
- If we do not enforce a right straight away, that does not mean we have given it up.
- You may not transfer your rights under these terms to anyone else. We may transfer ours to a successor to our business.
